Offer Letter Format in India: What to Include + Sample (2026)

An offer letter is the first formal document you give a person you want to hire. It states the role, the pay and the main terms, and asks them to accept. A clear offer letter prevents most early disputes: it sets expectations on salary, joining date and notice before the person starts. This guide explains how the offer letter differs from the appointment letter, what clauses to include, and gives a sample structure.

Offer letter versus appointment letter

These two documents are related but not the same, and mixing them up causes confusion.

In short, the offer letter is the proposal and the appointment letter is the contract. Small firms sometimes send only one combined document, which is acceptable, but keeping them separate lets you confirm the hire quickly and then follow with the full terms.

Must-have clauses in an offer letter

These are the clauses that a good Indian offer letter should carry:

A note on CTC breakup

The most common early grievance is that the first salary is lower than the CTC suggested. This happens because CTC includes employer contributions and the take-home is after employee deductions. Spell it out in the offer. Show, for example, that from the monthly gross the employee PF, professional tax and any TDS are deducted, and that the employer PF share is part of CTC but does not reach the bank account. For the mechanics of these deductions, see our salary slip format guide and the payroll process guide.

Practical tips

Once the person accepts, the offer flows into onboarding: employee record, documents, salary structure and the first payroll. IndiaCRM's HR & Payroll module stores the employee and the agreed structure so the offer terms carry through to the first payslip without re-entry.
