A rent agreement is a simple document that prevents a great deal of trouble. It sets out, in writing, what the landlord and tenant have agreed, so that months later nobody argues about the rent, the deposit or who fixes the leaking tap. A rent agreement does not need fancy legal language, but it does need to be complete. Leaving out a clause is how disputes start. Make sure yours covers each of these.

11 month versus registered agreement

You will notice that most rent agreements in India run for exactly 11 months. There is a practical reason. Under registration law, a lease of 12 months or more generally must be registered with the local sub registrar, which means paying stamp duty and a registration fee and completing formalities. An agreement of 11 months stays under that threshold in most states, so landlords and tenants avoid the cost and simply renew when the term ends.

The trade off is legal strength. A registered agreement is stronger evidence in a dispute and offers the tenant more protection, while an unregistered 11 month agreement, though widely accepted, carries a little less weight in court. For a short residential let the 11 month route is fine. For a long or high value commercial lease, where you are investing in fit out and want security of tenure, it is usually worth registering the agreement properly.

A sample rent agreement structure

Why businesses need a rent agreement

For a business, a rent agreement is more than a private understanding with the landlord. It is a document the government asks for. For this reason a commercial rent agreement must clearly permit business use of the premises. An agreement that only allows residential use can be rejected as address proof for a business. Make sure the use clause names your activity, that the tenant on the agreement matches the name you are registering, and that the document is current and not expired when you submit it.

Stamp paper, notarisation and witnesses

A rent agreement should be printed on stamp paper of the value required by your state, because an agreement on plain paper carries little weight if a dispute reaches court. Stamp duty on short rental agreements is modest and varies from state to state, and e stamping is now available in many places, which makes buying the stamp paper quick. Have both the landlord and tenant sign every page, and get two witnesses to sign as well, with their names and addresses recorded.
